(Principal Chief Engineer, East Coast Railway/Bhubaneswar) proposes to obta=
in
sealed quotations from manufacturers in India for manufacture and supply of=
Mono Block Special PSC Sleepers for 1 in 12 Turn=
outs,
1 in 8.5 Turn Outs and 1 in 8.5 Derailing switches, Confirming to RDSO Drg.=
No.
T-4218, T-4865 and T-5836 respectively (All General Layouts) with latest
alterations
to specification cited in the Tender Schedule enclosed. Supplies have to be ar=
ranged
and reached direct to the consignees as indicated in tender schedule. The Railways reserve the right to ord=
er
entire or part quantity from approved suppliers.

The
tenderer must ensure that the conditions laid down for submission of offers
detailed in subsequent paras are completely and correctly complied with.
Tenders which are not complete in all respects will be considered as invalid
offers.

The contracts made under this tender will be
governed by the following:

the Tender booklet should be returned duly signed in each page by the tende=

whether the tenderer is quoting for any item or not. Any sheet of tender
booklet should not be detached but when items are not being tendered for, t=
he
corresponding space should be defaced by some such words as ‘Not
Quoting’.
7. Railwa=

reserves the right to place supply order for full or part quantities either=
in
one lot or in the more than one lot and the subsequent contracts being plac=
ed
depending on the performance/credential of the contractor. Delivery period =
may
be suitably reduced in case part quantity is ordered.
8. Cost of
Tender Document:
8.1 The pr=
escribed
non-transferable Tender Forms/documents are obtainable on any working day f=
rom
the office of the Principal Chief Engineer’s Office, East Coast Railw=
ay,
Rail Vihar, Annexe Building (East) Chandrasekharpur, Bhubaneswar - 751 023 =
on
payment of cost of Tender Forms (non-refundable) either by Crossed DD drawn=
in
favour of FA & CAO/ECoR/BBS on any Nationalized/Scheduled Bank payable =
at
Bhubaneswar or in the form of money receipt issued by Chief Cashier/East Co=
ast
Railway/Bhubaneswar in support of deposition of requisite money. Cost of Te=
nder
document should be deposited under Allocation No. Z/650. Tenderers who inte=
nd
to collect the tender forms/documents by post should send one self addressed
stamped envelope along with the requisite demand draft towards cost of tend=
er
form/documents. Railways will not be responsible for any postal delay or for
delay caused due to incorrect and incomplete address.
8.2 All SS=
I units
registered with N.S.I.C will be issued tender documents free of cost, on
written request along with the copy of certificate of registration with NSIC for this tendered item. The =
tender
documents will also be available in the website at www.eastcoastrailway.gov.in
and can be down loaded by the tenderer and used as tender documents for
submitting their offer. Railway will not be responsible for any
delay/difficulties/inaccessibility of the down loading facility for any rea=
son
whatsoever. Separate Demand Draft towards the cost of tender documents shall
have to be enclosed. This is in addition to submission of Earnest money.
Tenders without cost of tender documents and Earnest Money except as exempt=
ed
under 10.2 below will be considered as invalid.
9. SIGNING
OF TENDER DOCUMENTS (OFFER):
9.1 The Te=
nderer
shall sign with the seal of the organization in each page of the Tender
Document/offer form and Annexure (if any). Any offer submitted not with the
Railway’s Tender Document and not signed with seal will not be
considered.
9.2 The Tenderer must =
read
carefully all the terms & conditions of the Tender Document including
existing IRS conditions of Contract and modifications/amendments issued the=
reof
from time to time.
9.3 Offer is liable to be
ignored if complete information is not given therein or if the particulars =
if
any, asked for are not fully furnished. If the tenderer does not furnish all
the required & relevant information, their offer will not be considered=
.
9.4 Individual signing=
the
Tender or other documents connected with a contract must specify whether he
signed as: -
9.4.1. A 'Sole Proprie=

of the firm or constituted attorney of such proprietor;
9.4.2. A
partner of the firm, if it be a partnership in which case he must have
authority to refer to arbitration disputes concerning the business of the
partnership either by virtue of the partnership agreement or a power of

9.5 A person signing the Tender Form or=
any
documents forming part of the contract on behalf of another shall be deemed=
to
warrant that he has authority to bind such other and if, authority to do so,
the purchaser may, without prejudice to other civil and criminal remedies,
cancel the contract and hold the signatory liable for all cost and damages.=

MONEY

1 The tenderer shall have to
furnish Earnest Money Deposit for Rs. (Rupees ……=

only) along with their offers to be eligible for this tender. The Earnest Money can be deposited=
in
any of the Railways cash offices of ECoRly under Allocation
“Deposit/Miscellaneous/ Stores” and cash receipt obtained. Earnest Money can also be deposite=
d by
way of Bank Draft/Bankers pay order issued from any nationalised banks for =
the
above amount in favour of FA& CAO/EcoRailway. The cash receipt/Bank
Draft/Bankers Pay Order shall be enclosed along with their offer in original
towards Earnest Money Deposit.
10.=
2 Earnest Money Exemption :- Ear=
nest
Money need not be deposited for tenderers who are registered with NSIC for =
this
specific item tendered for. S=
uch
tenderers should seek for specific exemption from the depositing Earnest Mo=
ney
along with the copy of the registration certificate with NSIC/certificate of
RDSO approval. Governm=
ent
Departments and other railways are also exempted from depositing Earnest Mo=
ney.
10.=
3 The Earnest Money depo=
sited
is liable to be forfeited if the tenderer unilaterally withdraws amends,
impairs or derogates from the tender in any respect during its currency. The
Earnest money will be returned without interest to the unsuccessful tendere=
rs.
In the case of accepted tenders also, the Earnest money would be returned
without interest on written request to that effect and on proof of furnishi=
ng
the requisite Security Deposit.
12. Tenderers are accordingly advised to quote their rates in =
the
enclosed schedule in accordance with the above instructions and special
conditions of contract (Annex-.I). Their quotation addressed to the
Principal Chief Engineer, East Coast Railway, Annexe Building (East), Rail
Vihar, Chandrasekharpur, Bhubaneswar - 751 023 should be submitted in the
double envelope, the inner envelope containing the offer should be sealed a=

indicate the financial implication of each such deviation quoted by him.

Tenders sent through Registered post / Courier service should be

Chandrasekharpur, Bhubaneswar- 751023 so as to reach him before the due date
and time of opening of tender. Railway will not be responsible for any tran=

delay whatsoever on any account.
15.=
Validity:=
The
validity of the offers should be for a minimum of 180 days with effect from=
the
date of opening of this tender. The offer with validity less than 180 days =
may
not be considered.
16. Special PSC Sleepers for Turn outs and Derailing
Switches should conform to the IRS-T-45-1996 with latest corrigendum
17. The
relevant drawings can be seen in the office of the Principal Chief
Engineer/ECoR after the tender document is obtained by the prospective
Tenderers. The relevant drawing(s) can also be obtained on sale from the
Director General, RDSO, Manak Nagar,
18. Tender forms/documents are non transferable.
Railways reserve the right to reject any or all of the tenders in part or f=
ull
without assigning any reasons.
19. Ten=
derers
are required to submit a list of orders successfully executed by him/them
during the last three financial years in addition to the current year for
manufacture and supply of similar items mentioned in this tender to Indian
Railways along with documentary evidence along with their offer.

reserves the right to place order on one or more firms with exclusion of the
rest without assigning any reasons thereof.
ii) Firms are expected to quote for a quantity not less than 50% of
tendered quantity. Offers for less than 50% quantity will be considered
unresponsive and liable to be rejected in case cartel formation is suspecte=
d.
Railway, however, reserves the right to order on one or more firm for any
quantity.
iii) The firms who quote in cartel are w=
arned
that their names are likely to
be deleted from list of appro=
ved
sources.
23. In case of any discrep=
ancy
between the tender documents down loaded from website and the master copy
available in the office, the latter shall prevail and will be binding on the
Tenderer(s). No claim on this account will be entertained

Turn out Sleepers or Normal Railway PSC track sleepers are only eligible to
quote. The status of the firms shall be reckoned as on the date of opening =
of
tender unless there is a case of downgrading/removal/suspension/banning.

Annexure-I
Special Conditions of Contract for
Manufacture and Supply of Mono block Special PSC Sleepers for 1 in 12 Turn
outs, 1 in 8.5 Turnouts and Derailing switches with latest alterations.
1.&n=
bsp;
The supply against this order shall be completed
within a period of 12 months after one month of issue of PO duly
maintaining uniform supply schedule to be monitored over 4 month periods.
2. Rate
2.1 The supply of sleepers =
in
accordance with the terms and conditions of this contract shall be affected=
at
the accepted unit rate, subject to price variation in terms of Clause 16=
of
special conditions of contract (Annex-I).. =
In addition to the acc=
epted
rates, the contractor will also retain MODVAT credits available on input
materials as in the month of opening of the Tender.
2.2 The accepted rate shall=
be
inclusive of the cost of all labour and input materials such as HTS wire,
Inserts, Cement and coarse and fine aggregates, etc. including all handling
charges, taxes and duties thereon.
2.3 The accepted rate would=
also
include the cost of transportation of finished sleepers to loading point and
loading into the wagons/road vehicles at the FOR station in accordance with=
the
approved drawing including the cost of handling involved in the process.
2.4 The accepted rates and =
other
terms and conditions under this contract will remain current and valid for a
period of 12 months after one month from the date of issue of acceptance of
tender/Purchase Order/counter offer, as the case may be. The Purchaser also has the right to
defer deliveries (i.e. slow down supplies) and enhance delivery period up t=
o 6
months on the same rates, terms and conditions.
3.1 The accepted rate would=
be
exclusive of Taxes on sales of goods leviable under Central/State Sales Tax
Act(s) and Duty leviable under Central Excise Act, which will be paid extra=
as
legally applicable and payable on the date of supply. The purchaser will, however, not be
responsible for the reimbursement of any Taxes/Levies paid by the contractor
under misapprehension of law.
3.2 The Sales Tax forms for
finished sleepers only as applicable to concerned states either to avail Sa=
les
Tax concession or to facilitate entry/movement of the goods in the State, s=
hall
be arranged by the consignees and handed over to the supplier.
4.1 The responsibility for
procurement of all raw materials,
machinery and plants required for the manufacture of goods shall rest
entirely with the supplier.
4.2 Cement according to
IRS-T-40 shall be procu=
red by
the contractor from the approved/allotted sources at his/their own cost and=
as
per the rate, terms and conditions fixed by the purchaser with cement
suppliers. Only such cement shall be used for the manufacture of these
sleepers.
4.3 HTS wire required for the work shall be procured by the contrac=
tor
from firms who are approved for manufacture of HTS wire by Bureau of Indian
Standards (BIS) and possess a current valid BIS license for manufacture of
particular type of wire i.e. 3X3 mm strand, 7 / 7.5 mm plain wire or 9.5 mm=
dia
strand as the case may be. HTS Wire conforming to Specification IS-6006 as
mentioned in Indian Railway Standard Specifications shall be inspected and
passed by Railway.
4.4 SGCI Inserts shall confirm to IRS Specification No.T-46-1996 as
amended up to date and will be procured only from RDSO approved manufacture=
rs
and whose approval is current and valid. Each consignment of SGCI Inserts s=
hall
be accompanied by a test certificate from RITES, which would be conducted p=
rior
to dispatch
of consignment from suppliers. Whenever directed by the inspecting officer,=
the
manufacturer shall get the SGCI Inserts in stock tested at his own cost.
4.5 &n=
bsp; Aggregates shall be procured by =
the
contractor from the RDSO approved sources.
4.6 = PVC dowels: The contractor shall arrange to procure PVC dowels at his own cost.&nb= sp; The PVC dowels shall be as per Drg. No. T-3002 to be inspected and passed by RDSO. <= o:p>

sp; =
Entry Tax/Octroi:
The rates quoted by the Tenderer should specific=
ally
indicate the percentage & also in Rupees of Entry Tax/Octroi in their O=
ffer
Rate Sheet in Annexure-(iv) & in Annexure-(v).The Octroi/Entry Tax wher=
ever
payable will be borne by the seller/supplier/contractor.
6.0
Any variation
in existing rate of taxes, duties, levies etc and/or any new imposition by
order of the Government during the currency of contract shall be on
Railway’s account, subject to production of documentary evidencne.
7.0 &=
nbsp; INSPECTION:
7.1 The firms will have to complete the entire quant=
ity
within a period of 12 months after one month of issue of P.O. duly maintain=
ing uniform supply schedule to be monitore=
d over
4 month periods.
7.2 The Inspection of fini=
shed
sleepers will be arranged by the Chief Engineer, East Coast Railway,
7.3 The firms which are not approved for
manufacture of PSC Turn out sleepers shall have to approach DG/RDSO for ins=
pection
of its infrastructure facilities created for mass manufacture of the Turnout
Sleepers. The initial ten sets of Turnout Sleepers shall be inspected and
technical clearance given by RDSO. After RDSO’s inspection and techni=
cal
clearance of 10 sets of the turnout sleepers, rest of the turnout sleepers =
sets
shall be inspected by Chief Engineer, East Coast Railway,
7.4 Necessary office
accommodation for the Inspecting staff at the factory will have to be made
available by the contractor free of cost.
7.5 Necessary transport faciliti=
es
to and from the nearby Railway Station convenient to the Inspecting Staff &=
amp;
Rest House accommodation for the purpose of inspection should be provided f=
ree
of cost to the inspecting staff by the contractor.
7.6 =
The
contractor shall be required to install and operate all necessary testing
equipment required for testing the sleepers with varying rail sections, test
cubes, brickets etc. as stipulated in the IRS: Specification No. IRS-T-45-96
latest corrigendum if any prestressed concrete sleepers for Turn outs
(pre-tensioned-Type). The tes=
ting
equipment for the same must be available at the factory site. In addition, the contractor shall
arrange at his own cost for any further tests on materials, as may be indic=
ated
by the Engineer/Inspecting officer being carried out at recognized
7.7 The passed sleepers, for whi=
ch
inspection certificates have duly been obtained, only shall be allowed to be
taken for loading in Railway wagons/Road Vehicles. Any damage to the sleepe=
rs
in the process of loading in wagons/road vehicles or carrying to the loading
sites from the firm's premises shall be to contractor's account.
7.8 PSC Monoblock concrete sleep=
ers
which are treated for surface defects as provided under Clause 4.7.3 of the
'Draft Specification' shall be accepted and payment made @ 92.5% of the
standard Sleepers.
7.9 In case cube strength of any
batch falls below the specified limit, five sleepers of the batch shall be
tested for static bending test and the lot will be accepted if all five
sleepers pass the test requirements for category I sleepers.
7.10 =
; Sleepers
used for tests, including abrasion test, and found as per specifications
drawings shall be paid for by the purchaser at accepted rates. Such sleepers
paid for shall remain the property of the Purchaser and will be disposed of=
in
the manner prescribed by the purchaser from time to time.
7.11 Inspection of SGCI inserts will be carried out=
by
RITES. Inspection charges @ 0.45% will be reimbursed by the purchaser. RITES
have been directed to charge inspection charges of only 0.45%.
7.12 The inspection of HTS wire will continue to be
carried out by AIE of Zonal Railways as per existing practice.
7.13 In addition to this, periodical test check wi=
ll
be done by JA Grade Officer. Further, random RITES inspection as stipulated=
by
Chief Engineers of Zonal Railways will be done. The Inspection charges will
also be borne by the Railway.
7.14 On the stores bei=
ng
found acceptable by the inspecting officer, he shall furnish the contractor with necessary co=
pies
of inspection certificates duly completed for being attached to the
contractor’s bill in support thereof.
8.0 Modification to Desig=
n
&nb=
sp;
In case purchaser, at =
any
stage, during the currency of the contract deciding to make minor modificat=
ions
to the design of PSC Turnout sleeper, the supplier shall modify the moulds,
manufacturing process etc. to suit such minor modifications. The cost of such modifications wil=
l be
negotiated and mutually settled and will be paid by the purchaser.
9.0 Security Deposit

Banks. Bank Guarantee will be=
valid
upto a minimum period of 6 months beyond the final date of delivery. The proforma for Bank Guarantee wi=
ll be
supplied by the FA&CAO, ECoR,
=
vi) =
A deposit in the Post Office Saving Bank.
9.2 In case the supplier fails to
make the security deposit by submitting the requisite bank guarantee or in =
any
other acceptable form as at clause 8.1 above within the above stipulated ti=
me
limit, it will be lawful on the part of the purchaser to take action as per
clause 0502 of the IRS Conditions of Contract.
9.3 The Small Scale Industrial
Units, which are registered, with National Small Industrial Corporation (NS=
IC)
under Single Point Registration Scheme are exempted from depositing the
security deposit. Such firms =
will
make an application in writing to the paying authority for granting exempti=
on,
enclosing requisite documents, who will grant the exemption to the eligible
firms after scrutiny of documents.
Clause 8.1 above will not be applicable for the firms, which are iss=
ued
exemption certificate by the Paying Authority.
9.4 The security deposit, if not
adjusted fully or partly towards any breach of contract or default on the p=
art
of supplier, will be released after three months of the date of expiry of t=
he
delivery period on the orders of the Railway Board after verification for d=
ue
fulfillment of the supplies ordered within the currency of the delivery per=
iod
of the contract. In case of a=
ny
default on the part of NSIC registered firm in due fulfillment of the contr=
act,
it will be lawful on the part of the purchaser, without prejudice to other =
rights,
to approach the NSIC authorities for cancellation of contractor’s
registration with NSIC.
10.0 Dispa= tch:
10.1 Railway Re=
serves
the right to transport the finished sleepers by Rail / Road. Road
transportation to the consignees as indicated in the Rate Sheet shall be
arranged by the contractor. Railway, however reserves the right to transport
full or part quantity in their own trucks / trucks arranged by other agenci=
es
on behalf of the Railway.
10.2 =
Cost and the transportation of sleepers transported by road by the
contractor to different consignees as indicated in the Rate Sheet, shall be
reimbursed to the contractors on submission of documentary evidence.
10.3 =
The consignee instructions and booking orders will be given by the
Chief Engineer/East Coast Railway/Bhubaneswar or his nominee.
10.4 On placing of Railway =
Wagons
or Road Vehicles as arranged by the Purchaser or Railway/other agencies on
behalf of Railway at the works siding, the Contractor at his cost will load=
the
passed PSC sleepers within the specified loading time. The loading pattern shall be as per
drawing approved by the Purchaser. Hard Wood battens of (50mm X 50mm) secti=
on
shall have to be provided free of cost by the contractor at both outer Rail=
seats
on each sleeper on every successive layer loaded in wagons or road vehicles=
but
contractor shall be at liberty to collect the wooden packing at destination=
at
his own cost; and no claim of shortage or damage would be entertained by the
purchaser.
10.5 =
The contractor shall a=
rrange
loading promptly and any payment of demurrage charges on account of delay in
loading shall be to the Contractor’s account. A dispatch Certificate indicatin=
g the
number of sleepers taken over, the category and batch Nos. etc. of sleepers
loaded into wagons/road vehicles may be obtained from the consignor authori=
zed
by the Chief Engineer/East Coast Railway/Bhubaneswar-751023. Such certifica=
te
shall be admitted for the purpose of payment.
10.6 =
The responsibility for
damages or losses enroute will be to the account of the purchaser only for
consignment booked against clear RRs/if transported by the purchaser in the=
ir
trucks/arranged by agencies on behalf of purchaser or against certificates =
as
per clause 10.5 above. Where freight charges are claimed by the suppliers,
transit risk will be to suppliers account.
11.0 Delivery
Schedule
11.1 In case of supply, the production shall commen=
ce
within one month from the date of acceptance of offer/counter offer. Thereafter, the ordered quantity s=
hall
be supplied during the delivery period of 12 months maintaining a uniform
schedule to be monitored over 4 month periods w.e.f the date of commencemen=
t of
supplies as per contract.
11.2 =
Notwithstanding the uniform schedul=
e of
delivery, actual supplies will be regulated by the purchaser through release
orders to be issued by the Chief Engineer, East Coast Railways as per their
actual requirement. The month=
ly
schedule can be altered by slowing down the rate of production by the purch=
aser
by giving 02 months notice. I=
n case
the supplies are slowed down by Railways, delivery period will be extended
accordingly. Increase in mont=
hly
schedule will be with mutual consent. Failure to make supplies as =
per
the schedule fixed in advance will attract penalty as per clause 12.0 below.
11.3 =
If=
the
contractor fails to deliver the store within the delivery period as per
contract or as extended or at any time repudiates the contract before the
expiry of such period due to any circumstances whatsoever, save as provided=
in
Clause 11.2 and force majeure =
Clause
19.0, the purchaser reserves the right to cancel the contract for the
balance quantity in whole or in part and recover from him the liquidated
damages as per Clause 13.0.
If however, the stores are accepted after the expiry of the period f=
ixed
for delivery, the purchaser may grant an extension of the delivery period at
it’s sole discretion, subject to the following conditions :
=
a) =
That the purchaser has the right to recover from=
the
contractor the liquidated damages in terms of clause 0702 of IRS
Conditions of Contract on the stores, which the contractor has failed to
deliver within the period fixed for delivery;
=
b) =
That no increase in price on account of any
statutory increase in or fresh imposition of Customs Duty, Excise Duty, Sal=
es
Tax, Freight Charges or on any account of any other tax or duty leviable in
respect of the stores specified in the contract, which takes place after the
date of delivery period stipulated in the said Acceptance of Tender shall be
admissible on such of the said stores as are delivered after said date.
=
c) =
That not withstanding any stipulation in the
contract for increase in price on any other grounds no such increase which
takes place after the delivery date stipulated in the contract shall be
admissible on such of the said as are delivered after the said date;
=
d) =
But nevertheless the purchaser shall be entitled=
to
the benefit of any decrease in price on account of reduction in or remissio=
n of
Customs Duty, Excise Duty and Sales Tax or on account of any other ground w=
hich
takes place after the expiry of the above mentioned date namely the delivery
date stipulated in the contract.
The contractor shall allow the said benefit in his bills or in the
absence thereof shall certify that no decrease in price on account of any of
these factors has taken place.
11.4 &=
nbsp; Unsupplied
quantities against the contract within DP shall be treated as cancelled wit=
hout
financial repercussions on either side provided such shortfalls are not more
than 5% of the contract quanti=
ty and
request for extension of Delivery period shall not be entertained towards s=
uch
quantities.
12.0
=
In
case of failure on the part of the supplier to arrange supplies as per the
schedule fixed in advance, save force majeure conditions and/or delays
attributable to the Railways, the purchaser reserves the right to cancel the
quantity in deficit at the end of monitoring periods i.e. every four month =
and
recover from the defaulting contractor a sum equivalent to five percent of the cost of sl=
eepers
which have remained unsupplied. The
shortfall in supplies due to default by the contractor may be made good by
arranging equivalent supplies from alternate sources.
13.0 Liquidated damages for
failure to complete supplies within delivery period or termination of Contr=
act.
=
14.0 Option Clause
14.=
1 The E.Co. Railway rese=
rves
the right to increase / decrease the contracted quantity up 30% at the acce=
pted
rate, terms and conditions of the order or to reduce the quantity up to 30%=
of
the order at its sole discretion. The discretion of the Railway in this reg=
ard
shall be exercised within the currency of the contract. If quantity is incr=
eased
by or up to 30%, suitable extension in delivery period will be granted by t=
he
Purchaser.
=
15.0 Payment=
15.1 The time-to-time inter=
im
payment towards supply of finished goods shall be made at the updated rate
inclusive of freight. The final payment would be made as per
Escalated/De-escalated rate worked out on the basis of Price Variation Clau=
se
(Clause 16). All paymen=

will be made by the FA &
15.2 =
; 90%
of the price of each consignment will be paid after the PSC turnout sleepers
are inspected and passed by the Purchaser on execution of Indemnity Bond fo=
r an
equivalent amount by the Contractor on the proforma to be issued by the
FA&CAO, East Coast Railway of the Paying Railway. In such case of 90% advance paymen=
t, a
copy of the Inspection Certificate shall be enclosed to the bills.
15.3 Balance 10% of the price of each consignment w=
ill
be paid on proof of dispatch and on submission of Indemnity Bond for 25% of=
the
value of stores supplied covering the warranty period as per warranty claus=
e.
Consignor's certificate shall be enclosed with 10% bills.
15.4 In case, 90% payment as laid down in clause 15=
.2
above is not sought, 100% of the price of each consignment will be paid on
proof of dispatch of stores and on submission of Indemnity Bond.
NB:
Further admission of Bills for payment against 90% shall be done, only afte=
r the
dispatch of the earlier lot of Turnout
Sleepers to the consignees, which have been inspected and passed by the
purchaser earlier and for which 90% payment has already been made.
15.5 =
All payment shall be subject to the deduction of=
any
amount for which the Contractor is liable under this contract or any other
contract in respect of which the President of India is to Purchaser.
15.6 The payments will be ma=
de on
EFT scheme only. The suppliers are required to submit their Mandate form in
prescribed format for effecting their payment through the Electronic Fund
Transfer scheme of RBI (EFT/STEPS) in which their payments can be
electronically transferred in their accounts.
16.0 Price variation clause:

accepted rate will vary in accordance with the price variation formula as
detailed below in clause 16.2 to take into consideration variation in prices
during execution of contract. Price

16.5. In order to avoid blockage of funds till final

production, the accepted price will be updated every six months as per the
above formula for escalation. First updating shall be done on the basis of
indices for the month of acceptance of tender as soon as confirmed indices =
for
the month of acceptance are available. Payment for the supplies made shall =
be
done at the latest updated price.
17.0 All
payments shall be subject to the deduction of any amount for which the
Contractor is liable under this contract or any other contract in respect of
which the President of India is the Purchaser and any other deductions as a=
re
legally leviable as per Indian laws.
18.0 Progress Report:<= /p>
&=
nbsp; The Contractor shall s=
ubmit
monthly progress report on production, supply, inspection, rejection and on
stocks of principal raw materials to the Paying Railway as per the prescrib=
ed
proforma given in the Tender Document by 1st of the following mo=
nth
and also furnish stock position of principal raw materials and any other
particulars relating to the contract when called for.
19.0 = ; Force Majeure:
=
Contract =
to be
subject to Force Majeure Clause as given below: -
19.1 =
; In the event of any
unforeseen event directly interfering with the supply of stores arising dur=
ing
the currency of the contract, such as war, insurrection, restraint imposed =
by
the Government, act of legislature or other authority, explosion, accident,
strike, riot, lockout, acts of public enemy, act of God, sabotage, the
contractor shall within a week from the commencement thereof notify the sam=
e in
writing to the purchaser with reasonable evidence thereof.
19.2 If the force majeure condition(s) mentioned ab=
ove
be in force for a period of 90 days or more at any time, the purchaser shall
have the option to terminate the contract on expiry of 90 days of commencem=
ent
of such force majeure by giving 14 days notice to the contractor in writing=
. In
case of such termination, no damages shall be claimed by either party again=
st
the other save and except those, which had accrued under any other clause of
this agreement prior to such termination.
20.0 W=
arranty
20.1 The Contractor guarantees that the sleepers, whi=
ch he
supplies, shall be manufactured fully in accordance with specifications.
20.2 =
The
contractor further guarantees that the sleepers shall be free from defects =
in
materials and workmanship. The
Contractor shall be liable to arrange the necessary replacement of the defe=
ctive
sleepers free of any charge only to the extent that such replacements are
attributable to or arise from faulty workmanship or materials or design in =
the
manufacture of the sleepers. =
All
replacement be made free of cost at destination. If the contractor so desires, the
replaced sleepers can be taken over by him for disposal as he deems fit, wi=
thin
a period of 3 months from the date of receipt of the replacement of defecti=
ve
sleepers by the purchaser. At=
the expiry
of this period, no claim in this respect shall lie on the purchaser.
20.3 =
The
guarantee herein contained shall not apply to any material, which shall have
been repaired or altered by the purchaser, or on his behalf in any way so a=
s to
affect its strength, performance or reliability, or to any defect to any pa=
rt
due to misuse, negligence or accident.
20.4 =
The
guarantee herein contained shall expire in respect of each sleeper on the
expiry of five years from the date of its delivery or three years from the =
date
of its placing in service whichever is earlier, except in respect of defects
notified to the Contractor prior to the expiry of such date. For this purpo=
se
the contractor shall have to sign a special indemnity bond on the proforma =
to
be supplied by the FA & CAO / ECOR / BBS at the time of release of secu=
rity
deposit.
20.5 =
All
replacements that the purchaser shall call upon the Contractor to deliver u=
nder
this guarantee shall be delivered by the Contractor within three months from
the date of intimation of such rejection of defective sleepers. If the contractor fails to replace=
the
defective sleepers within the said period, the cost of said sleepers at the
rate stipulated in the contract shall be recovered from the payments due to=
the
contractor.
20.6 =
Any
approval or acceptance by the Purchaser of the sleepers or of the materials,
incorporated therein shall not in any way limit the Contractor’s
liability hereunder.
20.7 =
The
decision of the Purchaser in regard to Contractor’s liability under t=
his
guarantee shall be final and conclusive.
21.0 Book Examination: The
Government reserves the right for ‘Book Examination’
as follows:
=
21.1=
The
contractor shall whenever called upon and requiring to produce or cause to =
be
produced for examination by any government officer duly authorized in that
behalf, any cost or other account book of account, voucher, receipt, letter,
memorandum, paper or writing or any copy of or extract from any such docume=
nt
and also furnish information any way relating to such transaction and proce=
dure
before the duly authorized government officer returns verified in such mann=
er
as may be required relating in any way to the execution of this contract 0r
relevant for verifying or ascertaining the cost of execution of this contra=
ct .
(The decision of such government officer on the question of relevancy of any
document information of return being final and binding on the parties.)
The
obligation imposed by this clause is without prejudice to the obligation of=
the
contractor under any statute rules or orders shall be binding on the
contractors.
21.2
The contractor shall, if the
authorized government officer so requires (whether before or after the pric=
es
have been finally fixed), afford facilities to the government officer conce=
rned
to visit the contractor’s works for the purpose of examining the proc=
ess
of manufacture and estimating or ascertaining the cost of production of the
article. If any portion of the work be entrusted or carried out by a sub
contractor or any of it’s subsidiary or allied firm or company, the
authorized government officer shall have the power to examine all the relev=
ant
books of such sub contractor or any subsidiary or allied firm or company sh=
all
be open to his inspection as mentioned in clause 23.1
21.3 If on such examination, it is estab=
lished
that the contracted price is in excess of the actual cost plus reasonable
margin or profit, the purchaser shall have the right to reduce the price and
determine the amount to a reasonable level.
21.4 Where a contract provides for book
examination clause, the contractor or it’s agency bound to allow
examination of it’s books within a period of 60 days from the date of=
the
notice received by the contractor, or it’s agency calling for the
production of documents as under clause 23.1 above. In the event of contrac=
tor’s
or his agencies ‘ failure to do so, the contract price would be reduc=
ed
and determined according to the best judgment of the purchaser which would =
be
final and binding on the contractor and his agencies.
22.0 =
L=
icensing
of
22.1. =
;
Licensing of Railway land required either for setting up a factory or stack=
ing
of sleepers near to the siding to the extent available and surplus to Railw=
ay's
requirement will be dealt with under normal Railway rules prevalent from ti=
me
to time.
22.2 =
The
land so licensed out to the contractor shall remain in his possession during
the currency/extended currency of the contract. The contractor will not have
the right to subject, assign or
mortgage the land licensed to him.
23.0 =
L=
aws
Governing the Contract:
23.1 =
This
Contract shall be governed by the Laws of India being in force.
23.2 =
Irrespective of the place of delivery, the place=
of
performance or the place of payment under the order, the order shall be dee=
med
to have been made at the place from where the acceptance of tender has been=
issued.
24.0 =
J=
urisdiction
of Courts:
24.1 =
The
Courts of the place from where the tender documents and acceptance of tender
has been issued shall alone have jurisdiction to decide any disputes arising
out of or in respect of the order.
25.0 =

26.0 =
Arbitration:
26.1 =
In
the event of any question, dispute or difference arising under these condit=
ions
or any special conditions of contract or in connection with his contract
(except as to any matters the decision of which is specially provided for by
these or the special conditions. ) the same shall be referred to the sole
arbitration of a gezetted railway officer appointed to be the arbitrator by=
the
General Manager in case of contracts entered into by the zonal Railways and=
the
production units, by any member of the Railway Board in case of contracts
entered into by the Railway Board and by the head of the organization in
respect of the contracts entered into by the other organizations under the
ministry of Railways. The Gezetted Railway officer to be appointed as arbit=
rator
however will not be one of those who had an opportunity to deal with the
matters to which the contract relates and who in the course of their duties=
as
railway servant have expressed view on all or any of the matter under dispu=
te
or difference. The award of the arbitrator shall be final and binding on the
parties to this contract.
=
26.2=
In
the event of the arbitrator dying, neglecting or refusing to act or resigni=
ng
or being unable to act for any reason or his award being set aside by the c=
ourt
for any reason, it shall be lawful for the authority appointing the arbitra=
tor
to appoint another arbitrator in place of the out going arbitrator in the
manner aforesaid.
26.3 =
It
is further a term of this contract that no person other than the person
appointed by the authority as aforesaid should act as arbitrator and that if
for any reason that is not possible the matter is not to be referred to
arbitration at all.
26.4 =
The
arbitrator may from time to time with consent of all the parties to the
contract enlarge the time for making the award.
26.5 =
Upon
every and any such reference, the assessment of the cost incidental to the
reference and award respectively shall be in the discretion of the arbitrat=
or.
26.6 =
Subject
as aforesaid, the arbitration act-1940 and the rules there under and any
statutory modification thereof for the time being in force shall be deemed =
to
apply to the arbitration proceedings under this clause.
26.7 =
The
venue of arbitration shall be the place from which the acceptance note is
issued or such place as the arbitration act at his discretion may determine=
.

26.8=
In
this clause the authority to appoint the arbitrator includes, if there be no
such authority the officer who is for the time being discharging the functi=
ons
of that authority, whether in addition to other functions or otherwise.

contractor’s truck, shall be reimbursed on lower of rail/road freight
(rail freight to nearest Rly. Stn.) as on the date of supply subject to
production of documentary evidence as per Railway Board’s latest
instructions in this regard.
